Terms of Use

By creating an account, accepting these terms, or using Backroad after these terms are brought to your attention, you agree to them. If you do not agree, do not use the service. You must be at least 18 and legally able to enter into this agreement to create an account or become a member. If you act for an organization, you must have authority to bind it.

Our Privacy Policy explains how personal information is handled. Any additional terms clearly presented for a particular feature, event, or paid offering apply to that offering; if they conflict with these terms, the specific terms control for that offering.

Backroad is a private membership platform with some publicly accessible features. Member access is personal to the approved individual. Each person accessing member features must have their own authorized account, unless Backroad expressly approves a different arrangement in writing. Membership does not authorize access for your colleagues, clients, friends, family, or other third parties.

Do not share, lend, sell, transfer, or pool an individual account or membership. Do not disclose passwords, sign-in links, verification codes, session cookies, access tokens, or other credentials to give another person access. Do not use someone else’s account, provide access through a shared session or proxy, or create replacement accounts to evade a restriction. Any approved organization or multi-user arrangement is limited to its authorized users and agreed access terms; it does not permit shared individual logins.

Provide accurate account and application information, keep it up to date, and protect your login credentials. Notify us promptly if you suspect unauthorized access. You are responsible for your authorized use of the account, subject to applicable law.

Creating an account or submitting a membership application does not guarantee membership approval or access to every feature. Access may depend on activation, eligibility, an offering’s terms, or availability. We may set reasonable usage limits to protect the service.

Backroad provides information and tools for enthusiast vehicles, including listings, observed sales, estimated values, grades, comparisons, forecasts, and commentary. Estimates and projections are opinions derived from available information and models, not offers to buy or sell, formal appraisals, or guarantees of price, condition, authenticity, availability, or future returns. Asking prices are seller requests and are not evidence of completed sales.

Records can be incomplete, delayed, incorrectly reported, or affected by a vehicle’s condition and history. AI-generated explanations and automated outputs can contain errors. Independently verify material details, including VIN, ownership, title, accident and service history, specifications, mileage, fees, and sale terms. Arrange inspections and qualified professional advice when appropriate.

Backroad does not provide personalized investment, financial, legal, tax, or insurance advice. You make your own purchase, sale, ownership, and other decisions. Unless we expressly enter a separate written agreement with you, Backroad is not the seller, buyer, dealer, broker, auctioneer, escrow provider, insurer, or agent in a vehicle transaction and does not inspect or take possession of the vehicle.

Creating an account or applying for membership does not by itself authorize a charge. Some accounts may receive free early access; paid memberships and founding offers are separate offerings. An advertised membership price or founding offer does not enroll you in a subscription or guarantee availability.

If you choose a paid offering, the price, taxes where applicable, billing frequency, renewal terms, cancellation method, and refund terms will be presented before you purchase. We will obtain any required agreement before charging you. A free account will not automatically become a paid subscription without your authorization. Any mandatory cancellation, refund, or other consumer rights remain available regardless of an offering’s terms.

Subject to these terms and your approved access, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use Backroad for your own lawful personal use or internal business research. You may view and evaluate information to inform your own decisions and use downloads or sharing tools only for the purposes and audience those features expressly permit. An individual membership, including a paid membership, is not a data license or permission to provide Backroad content or access to others.

Do not misuse the service, bypass authentication, membership gates, rate limits or other access controls, interfere with security, introduce malware, impersonate others, commit fraud, or infringe privacy or intellectual-property rights. Do not reverse engineer the service except where applicable law gives you a right that cannot be restricted. Ordinary accessibility tools used for permitted access are allowed; they do not authorize extraction or redistribution.

For these restrictions, “Backroad content” includes the data, datasets, listings, vehicle records, sales histories, valuations, forecasts, indices, scores, analysis, reports, images, and other information made available through the service, including member pages, downloads, and service interfaces. Unless Backroad expressly authorizes the specific activity in writing or in a separate commercial agreement, the following uses are prohibited.

Do not scrape, crawl, harvest, bulk-download, or systematically extract or copy Backroad content. This includes using bots, scripts, browser automation, AI agents, automated queries, or coordinated manual collection, whether through the website, an account, a download, or an API. Do not evade limits by rotating accounts, credentials, devices, network addresses, or intermediaries, and do not help another person do so.

Do not sell, resell, license, sublicense, rent, publish, republish, distribute, syndicate, or otherwise make Backroad content available to others. Do not repackage or repurpose it into a database, data feed, API, report, newsletter, website, application, or other product or service, whether paid or free. Do not use it to build or enrich another dataset, recreate a material part of Backroad, offer a competing service, or train, fine-tune, evaluate, or supply a third-party AI or machine-learning system without that authorization.

These restrictions apply to content obtained through Backroad even if you modify it, combine it with other sources, change its format, remove branding, or describe the result as your own analysis. They do not prevent ordinary use of information for your own permitted research and decisions, use of your own original contributions, or sharing expressly enabled by a Backroad feature. A sharing or download feature authorizes only its stated use; it does not grant a broader commercial or redistribution license. Rights that applicable law does not allow these terms to restrict remain unaffected.

Ordinary links to publicly accessible Backroad pages and conventional search-engine indexing of those public pages remain permitted, subject to applicable access controls and published crawler instructions. This limited permission does not extend to member content, bulk data collection, resale, or reuse in another product or AI system. Public visibility of a page does not itself grant a data license.

For data licensing, integrations, redistribution, commercial reuse, or organization access, contact hey@thebackroad.io before beginning the proposed activity. Permission must come expressly from Backroad in writing or in a separate commercial agreement and applies only to the approved users, content, purpose, volume, duration, and distribution rights.

Paying for membership, receiving an account or access token, finding an accessible endpoint, or receiving no objection from us does not constitute permission. A separate agreement controls only the uses it expressly authorizes; these terms continue to apply to other uses. You remain responsible for any third-party rights or permissions that our agreement does not cover.

You retain the rights you have in photos, documents, designs, comments, and other material you submit. You represent that you have the rights and permissions needed to submit it and to authorize its use as described here. Do not upload confidential material or personal information that you are not entitled to share.

You grant Backroad a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, format, and display your content as needed to provide, secure, maintain, and improve Backroad and the features you choose, including its valuation models and market analysis, as described in our Privacy Policy. This includes using service providers to perform those functions. This license does not authorize us to publish private garage records merely because they were uploaded. Content you choose to publish or share may be displayed or delivered to its intended audience.

This license lasts while we need the content for those purposes, including applicable legal retention, backups, and copies already shared through your use of the service. You can remove content using available controls or contact us for help. Removing a contribution cannot retrieve copies others have already made. Voluntary product feedback may be used to improve Backroad without an obligation to compensate you.

Follow our Community Guidelines whenever you contribute content or interact with others through Backroad. These rules apply to notes, comments, reviews, photos, profiles, messages, and other contributions or interactions, including contact made using member information obtained through Backroad. Be truthful, distinguish facts from opinions, disclose material commercial relationships, and treat members, contributors, and staff respectfully.

Do not harass, bully, threaten, intimidate, stalk, or target others with abuse, hate, or unlawful discrimination. Lewd or sexually explicit remarks, unwanted sexual content or advances, degrading personal comments, and repeated unwanted contact are prohibited. Stop contacting someone who asks you to stop. Disagree with a claim without attacking the person making it.

Do not solicit members with unsolicited sales pitches, advertisements, promotions, recruiting messages, fundraising requests, or other commercial approaches. Spam, bulk messages, scams, and deceptive promotion are prohibited. Do not collect member information to build prospect lists, sell contact details, or target members on or off the platform. A membership or a disclosed business affiliation is not permission to market to other members. A specific response that another member expressly requests, or an activity Backroad expressly authorizes in writing or through a designated feature, is allowed only within that permission.

Do not publish someone else’s private contact details, location, financial information, confidential communications, or other personal information without permission or another lawful basis. Do not impersonate others, invent endorsements, or submit unlawful, infringing, or deceptive content. You are responsible for the content you contribute and for having the rights and permissions needed to share it.

User contributions are not necessarily verified or endorsed by Backroad. Report concerns or request review of a moderation decision through an available reporting feature or contact hey@thebackroad.io. We may review, restrict, or remove content and limit, suspend, or terminate access for violations, security risks, or legal requirements, subject to applicable law. We do not promise to review every contribution before it appears.

Backroad’s software, design, branding, original analysis, and protectable selection and arrangement of content are owned by Carlytics Inc. or its licensors and are protected by applicable law. These terms give you only the access rights expressly stated above. The restrictions on use of content obtained through Backroad do not claim exclusive ownership of underlying facts or expand our rights in third-party materials. Third-party trademarks, images, listings, and data remain subject to their owners’ rights. References to a manufacturer, auction house, dealer, or other brand do not imply affiliation or endorsement.

If you believe content infringes your rights, email hey@thebackroad.io with your contact details, the specific Backroad URL, identification of the work or right at issue, and an explanation of your authority and concern. We may request further information to investigate.

Third-party websites, dealers, auction platforms, service providers, member introductions, and partner offers have their own terms. You are responsible for evaluating those parties and their offers. Backroad does not guarantee their conduct, availability, performance, or the outcome of your dealings with them.

Any driving activity, event, or partner experience is subject to its specific requirements and, where presented, separate terms. Follow traffic laws, venue rules, and safety instructions. A membership does not guarantee admission, allocations, discounts, or a particular benefit unless expressly included in the offering you accept.

We may update, limit, or discontinue features and may suspend or end access for a material breach, misuse, security risk, legal requirement, or discontinuation of the service. Prohibited scraping, data reuse, resale, and account sharing may result in restriction or termination of access. Where reasonably necessary to stop ongoing misuse or protect the service, we may suspend access without advance notice to the extent permitted by law. Otherwise, where reasonable and lawful, we will provide notice and an opportunity to address the issue. Changes to paid offerings remain subject to the agreed offering terms and applicable law.

If your access ends, you must stop accessing the service and stop any use or distribution of Backroad content that these terms or a separate agreement do not permit. Ending access does not grant new rights to previously obtained content. We may seek remedies available under applicable law for violations, including a court order to stop prohibited activity where appropriate.

You may stop using Backroad at any time. To request account closure and associated data deletion, contact hey@thebackroad.io; the Privacy Policy explains retention and exceptions. Terms that by their nature need to survive, including ownership, limitations, and dispute provisions, continue after access ends.

To the fullest extent permitted by applicable law, Backroad is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant uninterrupted or error-free service, the completeness or accuracy of every record, or any particular transaction or financial outcome.

Nothing in these terms excludes warranties, guarantees, or remedies that cannot lawfully be excluded, including mandatory consumer protections.

To the fullest extent permitted by law, Carlytics Inc. and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, business opportunities, or data, arising from the service or these terms, even if advised of the possibility.

To the fullest extent permitted by law, our total aggregate liability for claims arising from the service or these terms will not exceed the greater of US $100 or the amount you paid us for the service during the 12 months before the event giving rise to the claim. These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. Your mandatory consumer rights remain unaffected.

Please contact hey@thebackroad.io with the relevant details if a problem arises so we can try to resolve it. This does not prevent you from bringing a claim, contacting a regulator, or exercising rights under applicable law, and it does not suspend a legal filing deadline.

These terms do not require arbitration or waive your right to participate in a class action. Courts with jurisdiction under applicable law may hear disputes, and any mandatory rights available where you live continue to apply.

We may revise these terms and will post the updated version with a new date. For material changes, we will provide notice through the service or by email and obtain agreement where required. Changes apply prospectively. If you do not agree to revised terms, stop using the service and contact us about any existing paid commitment.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a business reorganization or transaction, provided your rights are not unlawfully reduced. These terms and any applicable offering terms form the agreement concerning the service, without limiting rights or representations that the law does not allow us to exclude.
